Vote - 2026 Bylaws & Policies Changes

Attached is Article X and the Proposed Amendments to Article X of the By-Laws for the Heard Nature Photographers Club.  

Currently Article X requires a quorum vote of the full membership to change anything in our By-Laws. Because we seldom have had a quorum of the full membership attend a monthly meeting and because it has been a bit difficult to get a quorum of the membership to respond to an online voting request, the Board has agreed to the Proposed Amendments to Article X.  

As of today we have a total of 139 members so in order to obtain a quorum, we will need at least 71 members to agree.  The Proposed Amendments state that we would only need a simple majority of those members in attendance at a meeting, or a simple majority of the total members who voted online within a given timeframe, to pass a proposition. 

We generally have only 35-40 members attend our monthly meetings.  A simple majority of 36 members present at a meeting, for example, would mean a vote could pass with 19 members in favor of the proposition.  The Proposed Amendment to Article X will require a quorum of the full membership to pass, and we will ask for an online vote after the April meeting.  

If the Proposed Amendment passes, we don’t expect to need to use the online voting process again but wanted to leave it as an option in case of unforeseen circumstances like another pandemic. Please review the current Article X and the Proposed Amendments to it that are attached.  New language is in red and language proposed to be removed is black-lined.
